These Commercial Terms govern the general conditions under which Leyenda Flowers S.A.S. (hereinafter, “Leyenda Flowers”) offers and commercializes emerald hydrangeas to business clients (B2B), both domestically and internationally.

 

 

 

1. Nature of the Commercial Relationship

 

 

Leyenda Flowers operates under an exclusively B2B model, aimed at importers, wholesalers, distributors, and other professional buyers in the floral sector.

This website is of an informational and commercial nature and does not constitute a retail sales platform or a direct e-commerce channel.

 

 

 

2. Products

 

 

Leyenda Flowers specializes in the cultivation and commercialization of emerald hydrangeas, produced under defined criteria for selection, post-harvest handling, and export preparation.

 

Product characteristics (size, stem length, presentation, packaging, and other specifications) will be expressly agreed with each client through technical datasheets, quotations, or specific commercial agreements.

 

 

 

3. Quotations and Orders

 

 

Quotations issued by Leyenda Flowers are for reference purposes only and are subject to availability, market conditions, and final confirmation.

 

Purchase orders must be confirmed in writing and expressly accepted by Leyenda Flowers in order to be binding.

 

Unless otherwise agreed, orders will be subject to minimum quantities, shipping windows, and previously defined production schedules.

 

 

 

4. Prices and Payment Terms

 

 

Prices will be stated in each quotation and may vary depending on volume, seasonality, logistical conditions, and destination market.

 

Payment terms (payment periods, currency, advances, or other conditions) will be agreed on a case-by-case basis and may be set out in the quotation, pro forma invoice, or corresponding commercial contract.

 

 

 

5. Logistics and Delivery

 

 

Delivery conditions, including place, method, and logistical responsibilities, will be expressly defined for each transaction, in accordance with the applicable Incoterms® or other specific agreements between the parties.

 

Leyenda Flowers prepares the product in accordance with export standards; however, product performance at destination may be affected by external factors related to transportation, handling, and post-delivery conditions.

 

 

 

6. Quality and Claims

 

 

Leyenda Flowers applies control and selection criteria aimed at ensuring consistency and compliance with the agreed specifications.

 

Any claim related to quality or conformity must be communicated in writing within reasonable timeframes and with sufficient information for proper assessment. Specific conditions for claims may be agreed in separate contracts or quality policies.

 

 

 

7. Limitation of Liability

 

 

Leyenda Flowers shall not be liable for indirect losses, consequential damages, or impacts arising from factors beyond its reasonable control, including, among others, logistical delays, weather conditions, post-delivery handling, or regulations of the destination country.

 

 

 

8. Intellectual Property

 

 

The contents of the website, including texts, images, logos, and informational materials, are the property of Leyenda Flowers or are used with authorization, and may not be reproduced without prior written consent.

 

 

 

9. Governing Law

 

 

These Commercial Terms are governed by the laws of the Republic of Colombia. Any dispute shall be submitted to the jurisdiction of the competent courts of the country, unless the parties agree on a different mechanism.

 

 

 

10. Amendments

 

 

Leyenda Flowers reserves the right to amend these Commercial Terms at any time. Updated versions will be available on the website.
